Newmont shareholders OK $10 billion Goldcorp takeover, creating biggest gold producer

TORONTO (Reuters) – Newmont Mining shareholders on Thursday approved the company’s $10 billion takeover of Goldcorp Inc which is set to create the world’s biggest gold producer with assets across the Americas, Africa and Australia.

About 98 percent of votes at a special meeting were in support of Newmont’s proposal to issue new stock to fund its takeover of Goldcorp, the Denver-based company said in a statement. Goldcorp’s investors voted to approve the acquisition last week.

The deal, the biggest takeover in the gold sector’s history according to Refinitiv data, faced some initial opposition from Newmont investors who said it overly favored Goldcorp shareholders. But they rallied behind the proposal on the promise of a special dividend.

The 88-cent-per-share special dividend will be paid on May 1 to those who hold Newmont shares as of April 17, according to the statement.

Newmont shares were 0.7 percent lower at $36.01 in morning trading in New York, in line with the benchmark S&P/TSX Global Gold Index. Goldcorp shares slipped 0.26 percent to C$15.41 in Toronto.

“We thank Newmont’s shareholders for their overwhelming support for this compelling value creation opportunity as we build the world’s leading gold company,” Newmont Chief Executive Gary Goldberg said in the statement.

The new company, to be called Newmont Goldcorp, will overtake current market leader Barrick Gold Corp in annual production, churning out 6 million to 7 million ounces of gold annually over the next 10 years, compared with Barrick’s forecast of 5.1 million to 5.6 million ounces for 2019.

Newmont Goldcorp expects to shed between $1 billion and $1.5 billion of assets to focus on its most promising operations. This, combined with mines Barrick plans to sell in the wake of its acquisition of Randgold Resources, is expected by analysts to fuel a flurry of deals in a sector that has been focused on cutting costs rather than pursuing growth for several years.

Newmont’s acquisition of Goldcorp had faced several hurdles, beginning with Barrick’s hostile takeover bid for Newmont in February, which required it to abandon its deal with Goldcorp.

That was resolved through the creation of a joint venture of Newmont and Barrick’s operations in Nevada, which was estimated to create $4.7 billion in synergies.

SKOPJE (Reuters) – The leaders of Greece and North Macedonia hugged, took selfies and signed a new agreement for air patrols on Wednesday in a display of newly-friendly relations since a nearly three-decade name dispute was settled earlier this year.

North Macedonia’s Prime Minister Zoran Zaev was all smiles as his counterpart Alexis Tsipras became the first Greek prime minister to pay an official visit to the ex-Yugoslav republic since it declared independence in 1991.

The pair struck a deal last year for Macedonia to be re-named North Macedonia – satisfying Greece’s longstanding complaint over an implied claim to its province also called Macedonia – and the change came into force in January.

The deal has opened the way for North Macedonia to seek membership of the European Union and NATO blocs.

Upon arrival, Tsipras and Zaev snapped selfies, while the Greek leader’s wife was presented with flowers.

The two prime ministers discussed infrastructure projects including improving a railway between the Macedonian capital Skopje and Greek port Thessaloniki.

“We are writing history,” Zaev said.

“You are looking at two neighbors, friendly people who have shown Europe and the entire world that with brave decisions and good wishes for togetherness, something that was impossible yesterday has become reality today.”

They agreed to cooperate in their defense industries, cyber protection and military intelligence.

Macedonia, which has no fighter jets, will also allow Greece to patrol its skies for the first time.

Calling Zaev his “dearest friend”, Tsipras said it was time to make up for nearly three “lost” decades.

“For years, every time I would go to Europe with the government aircraft … I noticed that the pilot made a deviation so it wouldn’t enter the airspace of FYROM (Former Yugoslav Republic Macedonia),” he said.

“This silly behavior now stops .. Not only won’t we make deviations, but we might also take a stroll to say hello.”

Zaev reiterated that NATO and EU membership were the priorities for his tiny Balkan state. “But we also want cooperation with Russia, China and the Eastern world,” he said.

The dispute had been on the United Nations’ agenda ever since the former Yugoslavia broke up in 1991 and Greece, swept up by nationalist rage, had slapped a short-lived trade embargo on the landlocked state.

EU commissioner for enlargement Johannes Hahn tweeted his congratulations, praising the pair for putting citizens and the region first. “Their courage and vision is a signal to the rest of South East Europe that hard nuts can be cracked,” he said.

China’s ZTE Corp lost $1 billion in 2018, despite last quarter rebound

HONG KONG (Reuters) – China’s ZTE Corp made a net profit of 276 million yuan in the fourth-quarter as it recovered from costly U.S. sanctions which dragged it to an overall 2018 loss of 7.0 billion yuan ($1 billion).

The world’s fourth-largest telecommunications equipment maker by market share was forced to stop most business between April and July last year due to U.S. sanctions. It paid $1.4 billion to lift these and reported its worst half-year loss of 7.8 billion yuan in August.

ZTE’s 2018 loss announced on Wednesday was just within its earlier guidance range of 6.2 billion yuan to 7.2 billion yuan, but was deeper than the average estimate of a loss of 6.2 billion yuan by 10 analysts, according to Refinitiv Eikon data.

The company had expected a first-quarter net profit of 800 million to 1.2 billion yuan, against a net loss of 5.4 billion yuan year earlier. It reported a profit of 4.57 billion yuan in 2017 before it became embroiled in a crippling row with the U.S. government over violations of export restrictions.

ZTE said its revenue for the quarter ending in December was 26.7 billion yuan, while its full-year revenue dropped 21.4 percent to 85.5 billion yuan, against an average estimate of 87 billion yuan by 12 analysts.

WASHINGTON (Reuters) – The Trump administration on Sunday doubled down on its threat to shut down the southern border with Mexico, a day after it cut aid to Central American countries which President Donald Trump blasted for deliberately sending migrants to the United States.

Faced with a surge of asylum seekers from Central American countries who travel through Mexico, Trump said on Friday there was a “good likelihood” he would close the border this coming week if Mexico does not stop unauthorized immigrants from reaching the United States.

He also accused the nations of having “set up” migrant caravans and sent them north.

Speaking to ABC’s “This Week” show, White House acting Chief of Staff Mick Mulvaney said the president had few other options in the absence of any support from Democrats for more border security or legislative action to change the immigration law.

“Faced with those limitations, the president will do everything he can. If closing the ports of entry means that, that’s exactly what he intends to do,” Mulvaney said. “We need border security and we’re going to do the best we can with what we have,” he added.

White House adviser Kellyanne Conway told “Fox News Sunday” that the situation at the border was at “melting point” and said the president was serious in his threat. “It certainly is not a bluff. You can take the president seriously.”

Neither Trump aide offered any specific details or timeline for the potential border shutdown.

At a Saturday rally on the border in El Paso, Texas, Democratic presidential hopeful Beto O’Rourke denounced Trump’s immigration policies as the politics of “fear and division.”

Trump has repeatedly said he would close the U.S. border with Mexico during his two years in office. His latest threat had workers and students who frequently cross the border worried about the potential disruption to their lives.

The government says it is struggling to deal with a surge in recent days of asylum seekers from countries in Central America who travel through Mexico and on Saturday cut aid to El Salvador, Guatemala and Honduras.

March is on track for 100,000 border apprehensions, Department of Homeland Security officials said, which would be the highest monthly number in more than a decade. Most of those people can remain in the United States while their asylum claims are processed, which can take years because of ballooning immigration court backlogs.

George Conway: Trump Is Guilty of Being Unfit for Office

George Conway, the husband of counselor to the president Kellyanne Conway, argued in a new opinion piece that President Donald Trump is unfit for office.

Reacting to the news that special counsel Robert Mueller cleared Trump of conspiring with the Russians to win the 2016 presidential election, Conway penned an article for The Washington Post and said if Mueller was charged with investigating whether Trump was fit to serve, he would be guilty.

"If the charge were unfitness for office, the verdict would already be in: guilty beyond a reasonable doubt," he wrote.

Regarding Mueller's conclusion of no collusion, Conway said he wants to see Mueller's full report to explore what he sees are "links" between the Trump campaign and Russia.

"As matters turned out, and quite surprisingly, we now know from public sources that there were links aplenty," Conway wrote. "So who knows what we might learn on these subjects from Mueller's still-unreleased report?"

Mueller also looked at whether Trump obstructed justice during the multiple investigations that examined whether his campaign had improper ties to the Russians. Mueller, a former director of the FBI, could not reach a conclusion on that, a point Democrats have pounced on.

Conway was no different.

"If his report doesn't exonerate the president, there must be something pretty damning in it about him, even if it might not suffice to prove a crime beyond a reasonable doubt," Conway wrote. "And in saying that the report 'catalogu[ed] the president's actions, many of which took place in public view,' [Attorney General William] Barr's letter makes clear that the report also catalogues actions taken privately that shed light on possible obstruction, actions that the American people and Congress yet know nothing about."

Barr released a brief summary of Mueller's findings Sunday. He has pledged to release a more detailed report in the coming weeks.

This is not about race.  It is about preserving our sovereignty, our American culture of individual liberty under our Constitution and laws, preserving to each state a republican form of government, preventing the socialist/communist takeover of America, and preventing the cartels and their illegal alien allies from spreading their crime, terror, and slavery.

And in Texas, it is also about preserving the great state and Republic of Texas, which was born in fire and blood (of both Tejanos and Anglos – TEXANS ALL!).  Texas WILL remain free and will never be a socialist state!

Texans, as you stand on the border, you need to urge Governor Abbot to act decisively as the Governor of Texas and declare an emergency of his own here in Texas (or otherwise act as the commander in chief in Texas), and deploy all available state military and law enforcement assist to the border.    He has the Texas National Guard, as well as the Texas Guard (state defense force) and his LEO assets.   He needs to use them to the utmost extent of his power.  By doing so, he backs President Trump in a way that will strengthen his position in both the federal Courts and in the court of public opinion.   President Trump can then point out that the Governor of Texas agrees that this is an emergency.

And Texans, you need to urge your legislature and your Governor to get behind, support, pass, and sign TX Rep. Kyle Biedermann’s bill for Texas to fund and build its own border wall.  Texas needs to step up so President Trump is not standing alone, and so Texas defends itself.   May the spirit of the Alamo never die!

As the great American patriot Teddy Roosevelt said, we value and respect those who want to accept our culture and seek to be Americans, but we reject those who refuse to assimilate and refuse to adopt the American creed.   We also reject those who come only to steal, pillage and rape.  And we further reject those traitors to America who assist illegal aliens. We are the sheepdogs who assist the Good Shepherd and protect our sheep from the wolves who seek to devour us. The Apostle John tells us (1 John 3:16 NIV): “Jesus Christ laid down his life for us. Come to the river prepared to live out of your vehicle along the side of a road. This mission is not without risk. Criminals, along with human traffickers and drug traffickers avoid ports of entry and they often carry weapons. They cross the river in the evening and move quickly inland overnight avoiding detection by CBP, DPS and local law enforcement located close to the river. We will be “the wall” that disrupts their ability to move overnight to locations 20 or more miles inland where they are picked up and transported further inland to San Antonio and other cities to prey on our citizens. The critical time of vigilance will be from sunset to sunrise. Although we pray it is not necessary to use them, bring your weapons and personal protective equipment. Carrying and use of firearms must be legal according to Texas law. Not only must we be concerned about the foreign invaders, but we can also expect protestors who oppose Trump’s wall. Some protestors could be violent.

U.S. official says Mexico not looking to roll back energy reform

MERIDA, Mexico (Reuters) – Mexico’s new government has indicated it does not wish to roll back an energy overhaul passed by the previous administration which opened up oil production and exploration to private capital, a senior U.S. government official said on Friday.

Speaking on the sidelines of meetings between Mexican and U.S. officials in the eastern city of Merida, U.S. Deputy Energy Secretary Dan Brouillette said Mexico’s Energy Minister Rocio Nahle had said her government did not wish to repeal the reform.

Mexican President Andres Manuel Lopez Obrador had been a staunch critic of the energy overhaul prior to winning election in July 2018. However, he has since said he will give private companies some time to show they can increase oil production.

Multiple people died Thursday when a semitrailer plowed into stationary traffic that resulted in explosions and flames on a Colorado freeway, authorities said.

The incident occurred just before 5 p.m. in the Denver suburb of Lakewood when a truck driver lost control while traveling east on Interstate 70, according to a preliminary investigation. The collision started a chain reaction and a diesel fuel spill, Lakewood police spokesman Ty Countryman told the Denver Post.

“This is looking to be one of the worst accidents we’ve had here in Lakewood,” he said.

The driver of the runaway truck survived. At least one truck was carrying lumber, another was hauling gravel and the third may have been carrying mattresses, KDVR-TV reported.

Lakewood police tweeted there were multiple fatalities but did not give a specific number. Six people were taken to a hospital. Their conditions were not released, according to the paper.

Lanes in both directions were closed and expected to remain so into Friday morning.

President Trump will address members and leaders of the National Rifle Association on Friday at the group’s annual convention in Indiana.

Around 80,000 gun enthusiasts and more than 800 exhibitors are expected to pack the Indiana Convention Center in Indianapolis for the three-day event, the Indianapolis Star reported. It will mark the third straight year that Trump will deliver the keynote address, where he is expected to champion the rights of gun owners.

“Your Second Amendment rights are under siege,” Trump told the cheering audience in Dallas. “But they will never, ever be under siege as long as I am your president.”

Trump has supported some gun control measures in the past. Last year, his administration imposed a ban on bump stocks, attachments that enable semiautomatic rifles to fire in rapid bursts. Although, he most recently threatened to veto two Democratic gun control bills.

This year’s convention comes as the NRA faces outside pressure and internal problems. The group has seen its legislative agenda stall amid a series of mass shootings — including a massacre at a Parkland, Fla., high school in February 2018 that left 17 dead and launched a youth movement against gun violence.

It’s also grappling with infighting in its ranks, money problems and investigations into whether Russian agents courted officials and funneled money through the group.

“I’ve never seen the NRA this vulnerable,” said John Feinblatt, president of Everytown for Gun Safety, a nonprofit that advocates for gun control measure.

The convention will run through the weekend and conclude Sunday.

(Reuters) – Ailing British retailer Debenhams said two proposed company voluntary arrangements (CVA) could see all its stores remaining open during 2019, with 22 closures planned for next year, putting about 1,200 jobs at risk.

Debenhams’ lenders took control of the retailer earlier this month in a process designed to keep its shops open at the expense of shareholders.

BENGALURU (Reuters) – Chinese brands controlled a record 66 percent of Indian smartphone market in the first quarter, led by Xiaomi Corp, a report showed, with volumes rising 20 percent on the back of popularity for brands like Vivo, RealMe and Oppo.

Xiaomi’s India shipments fell by 2 percent over last year, but the Beijing-based company was still the biggest smartphone brand in the country, followed by Samsung Electronics Co Ltd, according to Hong-Kong based Counterpoint Research.

Shipment volumes for Vivo jumped 119 percent, while those of Oppo rose 28 percent.

“Vivo’s expanding portfolio in the mid-tier range ($100 to $180) drove its growth along with aggressive Indian Premier League cricket campaign,” Counterpoint analysts said.

India is the world’s fastest growing market for smartphones, where affordable pricing coupled with features like “selfie” cameras and big screens have popularized Chinese brands.

Video streaming services like Netflix Inc and Hotstar, as well as heavy usage of messaging apps like Facebook Inc’s WhatsApp have further spurred demand.

“Data consumption is on the rise and users are upgrading their phones faster as compared to other regions,” Counterpoint’s Tarun Pathak said.

“As a result of this, the premium specs are now diffusing faster into the mid-tier price brands. We estimate this trend to continue leading to a competitive mid-tier segment in coming quarters.”

The Dalai Lama has returned to his headquarters in the north Indian hill town of Dharmsala after a brief stay in a hospital in the capital for treatment of a chest infection.

Hundreds of exiled Tibetans lined the streets of Dharmsala carrying ceremonial scarves and incense sticks to welcome the Dalai Lama on Friday.

The 83-year-old Tibetan spiritual leader told reporters that he had fully recovered, but that the illness had been “a little bit serious.” He did not give any details.

The Dalai Lama usually spends several months a year traveling the world to teach Buddhism and highlight Tibetans’ struggle for greater freedom in China. But he has cut down on his travels in the past year to take care of his health.
