Exclusive: Chinese EV car maker NIO restricts its IPO banks from working for rivals – sources

HONG KONG (Reuters) – Chinese electric vehicle (EV) maker NIO Inc has blocked the eight top investment banks that did its IPO from working for rivals by tying them up in rare year-long non-compete clauses, several people with direct knowledge of the matter said.

The move highlights the fierce competition between China’s EV makers as they seek the capital needed to survive in a fast-growing market, also the world’s largest.

NIO, for its initial public offering in September, had hired Bank of America Merrill Lynch, Citigroup, Credit Suisse, Deutsche Bank, Goldman Sachs, JPMorgan, Morgan Stanley and UBS.

These were also the top eight banks worldwide for equity sales in 2018, according to Refinitiv data.

The non-compete clause prevents them from helping NIO’s rivals raise public or private funds for 12 months following the IPO, the sources said, declining to be named as they were not authorized to speak publicly on the matter.

NIO and the banks declined to comment.

The list of rivals covered by the restrictions included up to 10 names, although it may have varied between the individual agreements, the people said.

Xpeng Motors and WM Motor were on that list, three sources said. A separate source said the list included those two and Byton, among others.

NIO’s non-compete demands were particularly restrictive both in their breadth and duration, several sources said.

Typically such deals restrict banks from working with rivals until the transaction closes or for a shorter period such as six months, two of the sources said.

“Issuers sometimes don’t like it when you’re doing an IPO for the competitors on a concurrent timetable because they will worry that you might divulge information to the benefit of the other clients,” said Stephen Chan, partner at law firm Dechert LLP, speaking about general industry practices.

One banker involved in the NIO deal said his bank had lost mandates because of the non-compete clause.

Adding to the banks’ frustration, they had signed up to NIO’s demands when the IPO was expected to raise about double the $1 billion it actually brought in – meaning banks would initially have expected a much larger payout.

“It would have been interesting in hindsight seeing if it could have got the same agreement with people knowing what the actual valuation was going to be,” a senior banker who worked on the deal said.

EV CAPITAL-RAISING RUSH

NIO’s move comes at a time when many Chinese EV makers are considering IPOs or have launched private fundraisings as China cuts the subsidies it has historically offered as part of its efforts to curb pollution.

On Wednesday, China said it had raised its standards for NEVs that qualify for subsidies and reduced the amount it was willing to provide.

In January, Byton was seeking to raise at least $500 million to finance its growth, people familiar with the matter told Reuters at the time.

Earlier this month, WM Motor announced it closed its Series C funding round of 3 billion yuan ($446.16 million).

Reuters reported on Friday that Leap Motor, a smaller EV maker, was seeking a private fundraising of 2.5 billion yuan, advised by Deutsche Bank.

NIO itself did not stop with its IPO.

In January, it sold a $750 million convertible bond to plug the gap between the money it raised in its IPO and what it had expected to raise.

New World Bank boss vows to keep climate goals, evolve China relationship

WASHINGTON (Reuters) – New World Bank President David Malpass said on Tuesday he would not alter the lender’s commitment to fight climate change, but pledged to step up its anti-poverty mission and to evolve the bank’s relationship with China.

Malpass, who started at the Bank on Tuesday, was nominated by U.S. President Donald Trump. Some development professionals feared that he would pursue Trump’s “America First” agenda at the bank by resuming financing for coal power projects and pressuring China.

But Malpass told reporters that he will pursue the World Bank’s climate change goals, including its previous decision to withdraw from coal power funding. He called climate change a “key problem” facing many of the world’s developing countries.

“The board and the governors have established a policy on that. I don’t expect a change in that policy,” Malpass said,

A long-time finance executive, economist and government development official, Malpass most recently served as the U.S. Treasury’s undersecretary for international affairs. He helped negotiate a $13 billion capital increase for the World Bank last year.

That refunding included requirements that the bank shift lending away from middle-income countries including China toward lower-income countries.

Malpass at the time was highly critical of China’s continued borrowing from the World Bank and of Beijing’s Belt and Road initiative. But he said on Tuesday that new lending to Chinese projects was already declining and the relationship would shift toward one of increased contributions to the bank and sharing of expertise.

“That means an evolution where they are much less of a borrower, and they have more to offer in terms of their participation in capital increases, their participation in IDA, where China has been ramping up its contributions,” he said, referring to the International Development Association, the World Bank’s fund for the poorest countries.

He said he would work with China to boost the standards of its development projects with more debt transparency and open procurement standards.

His view on China contrasted those of U.S. Treasury Secretary Steven Mnuchin, who told lawmakers that Malpass’ presence at the World Bank would help the United States compete with China’s Belt and Road initiative. That program entails hundreds of billions of dollars in infrastructure development and investment by China in about 65 countries with an emphasis on transportation routes.

Asked at a House Financial Services Committee hearing on Tuesday what the United States could do to “push back” on China’s growing presence in international development, Mnuchin replied, “I think the single best thing is that David Malpass, who was my undersecretary, is now head of the World Bank.”

The World Bank, combined with a new U.S. development agency created by Congress last year, “can be a serious competitor to their Belt and Road,” Mnuchin added.

The United States remains the World Bank’s largest shareholder, and the Treasury oversees the U.S. interests at the institution.

Malpass said he saw no need for a restructuring of the World Bank’s operations, but he would seek to make lending more effective at lifting people out of poverty.

Alexandria Ocasio-Cortez, D-N.Y., could cost as much as $93 trillion, or approximately $600,000 per household, according to a new study co-authored by the former director of the nonpartisan Congressional Budget Office ... The sobering and staggering cost estimate came as Democratic presidential hopeful Kamala Harris pointedly declined in an interview broadcast Sunday to put a price tag on the Green New Deal and "Medicare-for-all," saying "it's not about a cost," but rather return on investment. The Green New Deal's botched rollout included the release of an official document by Ocasio-Cortez's office that promised economic security even for those "unwilling to work," and called for the elimination of "farting cows" and air travel.

STAGE SET IN VIETNAM FOR SECOND TRUMP-KIM SUMMIT: North Korean leader Kim Jong Un arrived by armored train at Vietnam's Dong Dang railway station on the China-Vietnam border on Tuesday for his second nuclear summit with President Trump ... The president was flying to Hanoi from Washington and was scheduled to. Press reports speculate that Kim will be driven to Hanoi ahead of his Wednesday meeting with Trump. Dems will try to ‘connect the dots’ to push back against ‘ultimate trump card’ in Mueller report: Brody

President Trump's supporters can expect to hear the same liberal talking points of collusion and obstruction following the release of the redacted Mueller report, a political analyst told Fox News.

David Brody, Christian Broadcasting Network chief political correspondent, appeared on "Fox & Friends" and broke down the Democrat narrative of Russian collusion with the Trump campaign Thursday ahead of the report's release.

"Donald Trump has the ultimate trump card, right?" Brody told Fox News chief national correspondent Ed Henry. "No collusion."

IN MUELLER REPORT'S RELEASE TRUMP LOOKS FOR VINDICATION, BUT NEW FIGHTS LOOM

He added: "I think what we are going to see with Democrats today is... they're going to try to connect the dots and Adam Schiff is going to have some sort of collusion diagram going on."

Democrats, Brody charged, could end up contradicting themselves by questioning what Mueller found -- despite previously praising him.

"Democrats can't have it both ways, here. They wanted a special counsel, they got it. They said Mueller is a fair guy, and now all of a sudden, Mueller doesn't know what he is talking about. That doesn't work."

Democratic leaders Nancy Pelosi and Chuck Schumer put out a statement ahead of the Barr news conference saying they want Mueller to testify, which Brody calls the "nook and cranny strategy" to figure out a way to put Mueller in front of Congress.

He then took aim at those in the media critical of Barr's news conference, slated for 9:30 a.m. ET.

"The media complaining about a press conference. Let me get this straight -- Bill Barr is going to have a press conference and you can ask him questions about a process. No, no, no, no. We don't want to do it. We don't want that press conference? What in the world? It's upside down," Brody said.

Nearly two years of fevered speculation surrounding the Russia probe, though, will come to a head in a dramatic television finale-like moment on Thursday morning, when Barr and Deputy Attorney General Rod Rosenstein are set to hold a press conference to discuss the Mueller report's public release.

It was not immediately clear exactly when on Thursday the DOJ would release the redacted version of the nearly 400-page investigation into Russian election meddling, but the document was expected to be delivered to lawmakers and posted online by noon.

Barr has said redactions in the report's release are legally mandated.to protect four broad areas of concern: sensitive grand jury-related matters, classified information, ongoing investigations and the privacy or reputation of uncharged "peripheral" people.

The chairman of the House Judiciary Committee, Democrat New York Rep. Jerrold Nadler, has said he is prepared to issue subpoenas "very quickly" for the full report if it is released with blacked-out sections, likely setting in motion a major legal battle.

(Reuters) – Former world number two Steve Stricker will captain the 2020 United States Ryder Cup team, the PGA of America said on Wednesday.

Stricker, 51, was clear favorite to succeed Jim Furyk as captain for the biennial event against Europe, which will next be played at Whistling Straits in his home state of Wisconsin.

A 12-times winner on the PGA Tour, Stricker captained the victorious U.S. team at the 2017 Presidents Cup and served as one of Furyk’s vice captains at last year’s Ryder Cup in Paris where the U.S. team suffered a crushing defeat.

As a player, Stricker logged three Ryder Cup appearances. He was on the winning team in 2008 before defeats in 2010 and 2012. His Ryder Cup record is three wins, seven losses and one half.

The European Ryder Cup team named Padraig Harrington as their captain in January.

Rep. John Garamendi: Trump can tackle immigration crisis by providing funding in Central America

Rep. John Garamendi, D-Calif., has called on President Trump to provide more funding in key areas to help solve the illegal immigration problem at the southern border.

During an appearance on "America's Newsroom" on Wednesday, Garamendi argued that there are a number of solutions that can be undertaken to lessen the strain of illegal immigrants on America's resources, but the president has resisted implementing them.

Many Democrats, including Garamendi, believe one way to tackle the issue is to establish facilities in Central American countries where large numbers of immigrants are fleeing from, in order to process immigration and asylum claims before individuals reach the United States border, crossing illegally or facing months in detention while awaiting asylum trials.

"Legal ports of entry are understaffed - they don't have the facilities to handle the people. Everybody knows we need more judges so these cases don't linger for years and years. We know we need to have facilities to handle the people that are arrested," Garamendi said Wednesday.

Those programs can over time diminish the reason why people leave those countries," he continued.

In response to an earlier Tuesday appearance by Rep, Peter King, R-N.Y., who said Democrats have repeatedly shut down attempts to reach common ground, Garamendi argued the claim is simply untrue.

"Last year, the Democrats proposed a major amount of money for border fencing and increasing the various ports of entry, providing new judges, all of those - ultimately the president rejected and we wound up with the shutdown," he said.

He and Rep. King have at least one opinion on immigration in common - both sides of the aisle need to work together to find compromises to solve the problem.

"What we need to do is work together - and we can," he concluded.

Schumer stops short of backing Sanders’ ‘Medicare for all’ plan

Sen. Chuck Schumer, D-N.Y., has become the latest Democrat to express skepticism over 2020 Democratic presidential candidate Bernie Sanders' "Medicare for all" plan – saying the Vermont senator's idea is just one of several proposals the party is considering to strengthen health care in the United States.

Schumer’s comments come a day after Sanders, an independent who caucuses with the Democrats,  launched a revamped "Medicare for All" plan that would replace job-based and individual private health insurance with a government-run plan that guarantees coverage for all with no premiums, deductibles and only minimal copays for certain services. In this latest version, Sanders added coverage for long-term care.

The Vermont independent's package is supported by many liberals and several other presidential contenders, but moderates fear it's an easy target for Republicans to characterize as a socialist path to huge tax increases.

And health care seems likely to be a major issue in next year's presidential and congressional elections.

SANDERS SAYS HE'S A MILLIONAIRE, VOWS TAX DAY RELEASE OF HIS RETURNS

Asked about Sanders' plan, Schumer said Democrats are united in the desire to improve health care, lower costs and create universal coverage.

"Different Democrats have different ways to get there," Schumer said.

House Speaker Nancy Pelosi, D-Calif., also has sounded skeptical about Sanders' plan.

Republicans call Medicare for all Exhibit A in their own 2020 narrative depicting a radicalized Democratic Party steering toward "socialism."

Several independent studies of Medicare for all have estimated that it would dramatically increase government spending on health care, in the range of about $25 trillion to $35 trillion or more over a decade's time (though a recent estimate from the Political Economy Research Institute at the University of Massachusetts in Amherst suggests that the cost could be much lower).

Sanders and his supporters say it's a matter of principle.

"Health care is a human right, not a privilege," he declared as he unveiled his bill at a Capitol Hill event crowded with nurses and advocates for patients. Fellow Democratic presidential candidate and co-sponsor Sen. Kirsten Gillibrand of New York also spoke, saying "this has to become the next social safety net."

NEW YORK (Reuters) – The Federal Reserve may lower the interest it pays on excess reserves banks leave with it by 5 basis points at its April 30-May 1 policy meeting in a bid to prevent the federal funds rate from drifting higher, Morgan Stanley analysts said on Friday.

This would mark the third such “technical” adjustment on the interest on excess reserves (IOER) following cuts last June and December.

(Reuters) – World number one Naomi Osaka came from behind in the final set to beat Croatian Donna Vekic 6-3 4-6 7-6(4) on Friday and move into the Porsche Tennis Grand Prix semi-finals.

Osaka comfortably won the opening set but was tested by the Croatian, who pushed her to the limit in the second and third. The Japanese made 45 unforced errors as she struggles to get to grips with swapping hard courts for clay.

Osaka was visibly frustrated and trailed 5-1 in the final set but she refused to give up and found her rhythm to break Vekic twice and prevent her from serving for the match.

In the tiebreaker, a confident Osaka upped her baseline game and had two early mini breaks before wrapping up the match in two hours and 18 minutes. An infuriated Vekic even smashed her racket after losing the match.

“I told myself I didn’t want to have any regrets here,” Osaka said. “I was stressed out when I went down 1-5… but this (comeback) was pretty good because I don’t play really well on clay.”

Earlier, world number three Petra Kvitova came back from a set down to beat Anastasija Sevastova 2-6 6-2 6-3 and move into the tournament’s semi-finals for the third time in her career.

Sevastova had a dream start, breaking Kvitova twice to take a 3-0 lead as the Czech struggled with her first serve. Kvitova also made a slew of unforced errors, with many of her returns going long.

Sevastova used the full width of the court to get the better of Kvitova, who played on the back foot for much of the first set as the Latvian gave her little time to catch her breath.

However, Kvitova recovered in the second set and she broke Sevastova’s serve when she was 3-2 up, winning 10 straight points to take a 5-2 lead. Sevastova looked shaken and was broken again to give Kvitova the second set.

Kvitova took command in the final set and broke a visibly upset Sevastova to take a 3-1 lead before easing into the semis.

“In the first set I missed almost everything. I was pretty slow and she just couldn’t miss,” Kvitova said. “In the second set it was very important for me to stay on my serve and the chance to break her came.”

Kiki Bertens plays Angelique Kerber later on Friday and Victoria Azarenka faces Anett Kontaveit in the last quarter-final.

The Latest on fatal pileup on Interstate 70 near Denver (all times local):

10:10 a.m.

Colorado officials say four people have died after a semi-truck hauling lumber plowed into vehicles on Interstate 70, causing a fire so intense that it melted the roadway and metal off of cars.

Authorities had to wait until daylight Friday to confirm the death toll from Thursday’s 28-vehicle pileup because of the devastation caused by the fire.

Six people were taken to hospitals with injuries. Their conditions are unclear.

Lakewood police spokesman Ty Countryman says the driver of the truck who caused the crash sustained minor injuries. He has been arrested on suspicion of vehicular homicide.

Officials say the driver was headed down a hill when he slammed into slower traffic. Countryman says there is no indication the crash was intentional.

A truck driver blamed for causing a deadly pileup involving over two dozen vehicles near Denver has been arrested on vehicular homicide charges.

Lakewood police spokesman Ty Countryman said Friday that there’s no indication that drugs or alcohol played a role in Thursday’s crash.

The unidentified driver was headed down a hill on Interstate 70 when he slammed into slower traffic and sparked a massive fire. Countryman said police are looking at whether his brakes were working properly.

He said 28 vehicles were involved, up from the initial 15 vehicles police reported after further sorting through the burned wreckage.

Police still say there were multiple fatalities but are still working to provide an exact number.

The highway is expected to remain closed until Saturday.

Tiger Woods is sending a message that he thinks he still has enough left, emotionally and physically, to win three more major championships to tie Jack Nicklaus’ record 18 titles.

Speaking to GolfTV in his first sit-down interview since the Masters, Woods said he has taken some time off since his victory at Augusta National, which still doesn’t feel real.

“Honestly, it’s hard to believe,” Woods said. “I was texting one of my good friends last night … that I couldn’t believe that I won the tournament. That it really hasn’t sunk in. I haven’t started doing anything. I’ve just been laying there. And every now and again, I’ll look over there on the couch and there’s the jacket.”

That’s the fifth green jacket for the 43-year-old Woods, who hadn’t won a major tournament since the 2008 U.S. Open. Along the way, four back surgeries, a divorce and other personal issues derailed him.

He said he has been spending time with his children – daughter Sam, 11, and son Charlie, 10 – who weren’t born when their father was the most dominant golfer on the planet.

“They never knew golf to be a good thing in my life and only the only thing they remember is that it brought this incredible amount of pain to their dad and they don’t want to ever want to see their dad in pain,” Woods said. “And so to now have them see this side of it, the side that I’ve experienced for so many years of my life, but I had a battle to get back to this point, it feels good.”

He said he hopes – maybe expects — they’ll see this side again.

And no one will take Woods for granted at the PGA Championship at Bethpage Black Course on Long Island, N.Y., which starts May 16.

Woods said he’ll be ready for a course he already conquered once in a major: the 2002 U.S. Open.

“I’m doing all the visual stuff, but I haven’t put in the physical work yet. But it’s probably coming this weekend,” he said.

Before Woods encountered health and personal problems, it was expected that topping Nicklaus’ major mark was “when” and not “if.” Then the certainty went away, but Woods thought he still had a chance.

“I always thought it was possible, if I had everything go my way. It took him an entire career to get to 18, so now that I’ve had another extension to my career – one that I didn’t think I had a couple of years ago – if I do things correctly and everything falls my way, yeah, it’s a possibility. I’m never going to say it’s not.

“Now I just need to have a lot of things go my way, and who’s to say that it will or will not happen? That’s what the future holds, I don’t know. The only thing I can promise you is this: that I will be prepared.”

Maria Butina, the Russian woman who was accused of being a secret agent for the Russian government, was sentenced to 18 months in prison Friday by a federal judge in Washington after pleading guilty last year to a conspiracy charge.

Butina, who has already served nine months behind bars, will get credit for time served and can possibly get credit for good behavior, the judge said. She will be removed from the U.S. promptly on completion of her time, the judge added, and returned to Russia.

MARIA BUTINA, ACCUSED RUSSIAN SPY, PLEADS GUILTY TO CONSPIRACY

An emotional and apologetic Butina said in court Friday she is “truly sorry” and regrets not registering as a foreign agent.

“I feel ashamed and embarrassed,” she said, adding that her “reputation is ruined.”

Butina has been jailed since her arrest in July 2018. She entered the court Friday wearing a dark green prison jumpsuit and spoke in clear English, with a slight Russian accent.

“Please accept my apologies,” Butina said.

Butina’s lawyer, Robert Driscoll, said after the sentencing they had hoped for a “better outcome,” but expressed a desire for Butina to be released to her family by the fall.

Prosecutors had claimed Butina used her contacts with the National Rifle Association and the National Prayer Breakfast to develop relationships with U.S. politicians and gather information for Russia.

Prosecutors also have said that Butina’s boyfriend, conservative political operative Paul Erickson, identified in court papers as “U.S. Person 1,” helped her establish ties with the NRA.

In their filings, prosecutors claim federal agents found Butina had contact information for people suspected of being employed by Russia’s Federal Security Services, or FSB, the successor intelligence agency to the KGB. Inside her home, they found notes referring to a potential job offer from the FSB, according to the documents.

Investigators recovered several emails and Twitter direct message conversations in which Butina referred to the need to keep her work secret and, in one instance, said it should be “incognito.” Prosecutors said Butina had contact with Russian intelligence officials and that the FBI photographed her dining with a diplomat suspected of being a Russian intelligence agent.
